   SunnyAI is a non-installing dealer of residential solar systems. We are not liable for any work or warranty obligations related to the actual installation, performance, or maintenance of solar systems performed by third-party installers. Any installation or service agreements you enter into with third parties remain solely between you and those third parties.

By using SunnyAI’s services, you acknowledge and agree to these disclaimers and limitations of liability to the fullest extent permitted by law.

• INTELLECTUAL PROPERTY USE AND OWNERSHIP.

  You acknowledge and agree that SunnyAI and its licensor(s) are and will remain the sole and exclusive owners of all intellectual property rights in and to each product and service made available on the Store and any related specifications, instructions, documentation or other materials, including, but not limited to, all related copyrights, patents, trademarks and other intellectual property rights. • FORCE MAJEURE.

  Neither party shall be liable or responsible to the other party, nor be deemed to have defaulted under or breached this Agreement, for any failure or delay in fulfilling or performing any term of this Agreement (except for any of your obligations to make payments to us hereunder), when and to the extent such failure or delay is caused by or results from acts beyond the impacted party’s (“Impacted Party”) reasonable control, including, without limitation, the following force majeure events (“Force Majeure Event(s)”): (a) acts of God; (b) flood, fire, earthquake, disease or explosion; (c) war, invasion, hostilities (whether war is declared or not), terrorist threats or acts, riot or other civil unrest; (d) government order, law, or actions; (e) embargoes or blockades in effect on or after the date of this Agreement; (f) national or regional emergency; (g) strikes, labor stoppages or slowdowns, or other industrial disturbances; (h) telecommunication breakdowns, power outages or shortages, lack of warehouse or storage space, inadequate transportation services, or inability or delay in obtaining supplies of adequate or suitable materials; and (i) other events beyond the reasonable control of the Impacted Party.




• CUSTOMER INDEMNITY.

  You shall indemnify, defend and hold harmless SunnyAI, all direct and indirect subsidiaries of SunnyAI, and all of our and their respective officers, directors, affiliates, agents, and employees from and against any and all claims, losses, damages, liabilities, demands, actions, costs, attorneys’ fees and expenses (including without limitation damages arising from personal injury, death or property damage) that may arise out of or result from: (a) any breach by you of these Terms; (b) any violation by you of any applicable law, rule, ordinance or regulation; (c) any use, misuse, modification or resale of any product by you or any other person; or (d) your negligence or willful misconduct.




• GOVERNING LAW AND JURISDICTION.

  All matters arising out of or relating to these Terms are governed by and construed in accordance with the internal laws of Puerto Rico without giving effect to any choice or conflict of law provision or rule that would cause the application of the laws of any jurisdiction other than those of the Puerto Rico.




• EXCLUSIVE VENUE

  THE PARTIES AGREE THAT ALL DISPUTES, LEGAL ACTIONS, SUITS AND PROCEEDINGS ARISING OUT OF OR RELATING TO THIS AGREEMENT MUST BE BROUGHT EXCLUSIVELY IN A FEDERAL DISTRICT COURT LOCATED IN Puerto Rico (COLLECTIVELY THE “DESIGNATED COURTS”). EACH PARTY HEREBY CONSENTS AND SUBMITS TO THE EXCLUSIVE JURISDICTION OF THE DESIGNATED COURTS. NO LEGAL ACTION, SUIT OR PROCEEDING WITH RESPECT TO THIS AGREEMENT OR ANY PRODUCT OR SERVICE MAY BE BROUGHT IN ANY OTHER FORUM.




• ASSIGNMENT.

You will not assign any of your rights or delegate any of your obligations under these Terms without our prior written consent. Any purported assignment or delegation in violation of this Section is null and void. No assignment or delegation relieves you of any of your obligations under these Terms.




• NO WAIVERS.

  The failure by us to enforce any right or provision of these Terms will not constitute a waiver of future enforcement of that right or provision. The waiver of any right or provision will be effective only if in writing and signed by a duly authorized representative of SunnyAI.




• NO THIRD-PARTY BENEFICIARIES.

Notices sent by email will be effective when we send the email and notices we provide by posting will be effective upon posting. It is your responsibility to keep your email address current.

• SEVERABILITY
